    According to the Financial Markets Conduct Act 2013, an individual or entity can be categorized as a wholesale investor based on the following criteria:


    Investment Activity: Someone who in the last 2 years has owned, or been involved in transactions that resulted in the ownership of, financial products with a value of at least NZD $1 million.


    Net Assets/Annual Turnover: An individual or entity with net assets or total consolidated turnover exceeding NZD $5 million in each of the last 2 financial years.


    Certified Investor: An individual who has been certified by an independent financial adviser as sufficiently experienced to participate in unsolicited offers.


    Large Entity: An entity that, when the certificate is given, is (a) in the top 50 of a specified NZX list or (b) has quoted financial products on an overseas market.


    Eligible Investor: An individual who may not meet the financial criteria but has sufficient knowledge and experience to assess offers of financial products. Such individuals need to sign a certificate, and an independent adviser must confirm that the implications of being an eligible investor have been explained to them.


    Associated Person: Being an associated person (as defined in the Act) of an offeror or issuer.


    Professional Investor: Someone whose principal business is investment, or who in the course of, and for the purposes of, their business habitually invests money.
